B2B Trade Agreement
1. Wholesale Trade Framework
These terms govern the wholesale supply of natural, lab-grown, coloured, and matched-pair diamonds by TR GEMS to international retailers, jewelers, and distributors.
By submitting specification inquiries or negotiating purchase invoices, you represent that you are acting as a professional business entity or authorized trade buyer.
2. Pricing & Inquiry Process
Diamond market rates are subject to international valuation shifts. TR GEMS issues quotes with limited validity periods (typically 48 hours for loose stones) based on current Rapaport index values and sorting inventory schedules.
We provide certificate matches (GIA, IGI, or custom lab reports) as specified on individual quotes. Any grading information is provided by independent gemological laboratories, and we carry no liability for variations in subjective lab criteria.
3. Custom Cuts & Orders
For specialized shapes, matched pairs, or bespoke faceting requests:
- Production begins only after design/specification files are approved by the buyer.
- Custom cuts require a non-refundable deposit as indicated on the initial B2B contract sheet.
- Once polishing of raw materials begins, custom-cut orders cannot be cancelled or modified.
4. Payment Terms & Clearing
All transactions are settled in United States Dollars (USD) or Euros (EUR) unless explicitly agreed otherwise. Payment methods include:
- Secure International Bank Wire Transfer (Telegraphic Transfer / TT).
- Irrevocable Letters of Credit (L/C) for qualifying bulk contracts.
Shipment documents and customs clearances will only be processed upon receipt of cleared funds at our designated banking partners.
5. Limitations of Liability
TR GEMS is not liable for indirect or consequential damages, loss of profits, or business interruptions. While we guarantee micron-level cutting accuracy on our shapes, diamond weights and clarity features are subject to natural variations, and slight grading discrepancies between labs are standard within the trade.
6. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with trades, quotes, or agreements with TR GEMS shall be subject to the exclusive jurisdiction of the courts of Surat, Gujarat, India.
